    COURSE BOOKING TERMS AND CONDITIONS
    (“Booking Terms”)
    
    1.	Parties
    
    These Booking Terms are between GOIBM Ltd t/a NEDonBoard ("NEDonBoard") and the person who completes the relevant booking form (whether or not they are the delegate) ("You") for the course as described in the booking form ("Event").
    
    2.	Making a Booking
    
    2.1	Courses shall be booked through the website www.nedonboard.com (“Website”) or any other website to which NEDonBoard may direct You too (including without limitation, www.eventbrite.com). 
    2.2	All bookings shall either be paid for through the Website or any other website to which NEDonBoard may direct You too (including without limitation, www.eventbrite.com) by credit or debit card or via bank transfer.
    2.3	All bookings are subject to availability and will be confirmed in writing by e-mail after NEDonBoard has received the completed booking form, the related fee if required ("Fee"), and any other information that NEDonBoard may require. 
    2.4	By paying the Fee, You understand and acknowledge that You are accepting these Booking Terms.
    
    3.	Fees
    
    3.1	The Fee for the Event stated on the NEDonBoard website is correct at the time of publication but maybe subject to change from time to time. For the avoidance of doubt changes to the Fee will not affect confirmed bookings.   The Fee is payable at the same time as You submit Your booking form, payable by credit or debit card or bank transfer. 
    3.2	The Fee includes a place for one delegate at the Event, refreshments and Event material but does not include travel to or from the Event or any accommodation costs incurred by the delegate.
    3.3	The Fee is stated as inclusive of VAT.
    
    4.	Changes to an Event
    
    4.1	Whilst Event listings are correct at the time of publication, in certain circumstances it may be necessary for NEDonBoard to alter the content, format, venue or timing of an Event. All delegates will be notified of such changes prior to the Event.
    4.2	If You cannot attend an altered Event for which You have registered, please contact NEDonBoard at team@nedonboard.com as soon as possible (and in any event no later than 24 hours before the Event). No refunds will be given, however NEDonBoard shall have absolute discretion to offer You either or both of the following options:
    4.2.1	allow You to send a substitute delegate in your place (provided that NEDonBoard has received the details of such substitute prior to 24 hours before the Event); or 
    4.2.2	allow You to attend the next available Event (please note NEDonBoard will only allow one deferral of Event date after which all Fees will be forfeited).
    4.3	In the event that NEDonBoard may need to postpone or cancel an Event for any reason whatsoever, NEDonBoard shall notify You as soon as reasonably practicable of any such postponement or cancellation. You will then be entitled to a refund if:
    4.3.1	You cannot attend the rearranged date; and / or
    4.3.2	You cannot attend the rearranged venue.
    NEDonBoard's liability to You will be limited to the amount of the Fees You have paid,- and NEDonBoard will not be liable to You for any expenditure, damage or loss incurred by You as a result of the cancellation or postponement.
    
    5.	Attending the Event
    
    5.1	Please contact us on team@nedonboard.com to advise us of any special access requirements prior to making your booking.
    5.2	NEDonBoard reserves the right, without any liability, to refuse You admission or eject You from the Event for failure to comply with these Booking Terms; or if in NEDonBoard's reasonable opinion You represent a security risk, nuisance or annoyance to the running of the Event.
    5.3	You must not make video or audio recordings of (i) the whole, (ii) or substantially the whole or (iii) any material aspect of the Event or of any session within the Event, or use any recordings or photographs for commercial purposes, unless expressly permitted by NEDonBoard. However, You are permitted, for your own personal use only, to make reasonable limited video or audio recordings and to take photographs at the Event.
    5.4	You acknowledge that the Event or part of it may be filmed by audio, visual, audio-visual or electronic means or photographed, including photographs of individuals or groups of delegates. You hereby consent to NEDonBoard, (or, if applicable, any third party licensed by NEDonBoard) to use and distribute such footage and photographs, which may contain Your images, in all or any media (including social media) whether current or subsequently created, in perpetuity at any worldwide location, for the purposes of advertising, publicity, reporting and otherwise in relation to the exploitation of such recordings and photographs. Please inform the photographer and / or videographer if You do not wish to be included in any individual or group photographs or video footage.
    5.5	To the maximum extent permitted by law, NEDonBoard shall not be liable for any kind of loss or damage to You or your personal property, unless caused by our negligence.  
    5.6	Course materials distributed by or on behalf of NEDonBoard at an Event are NEDonBoard’s proprietary items and may not be reproduced without NEDonBoard’s permission for any purpose.
    
    6.	If You are Not Happy with an Event
    
    6.1	In the event a delegate is not fully satisfied with the course content provided at the Event, such delegate is entitled to apply for a refund of the Fee, provided that:
    6.1.1	the delegate does not stay at the Event longer than 2 hours from the start time of such Event; and
    6.1.2	prior to leaving the Event, completes the required form by providing feedback in reasonable detail as to why the delegate was dissatisfied. NEDonBoard shall then have sole discretion to issue a refund to You if NEDonBoard deems this appropriate in the circumstances.
    
    7.	Liability of NEDonBoard
    
    7.1	Except as otherwise set out in these Booking Terms and to the maximum extent permitted by law, NEDonBoard shall not be liable to You for any direct, indirect, economic or consequential loss or any loss of business, use, profit, anticipated profit, contracts, revenues, goodwill or anticipated savings arising in connection with this Agreement, even if You have been advised of the possibility of such loss or damage.
    7.2	Except as expressly stated in these Booking Terms and to the extent permitted by law, NEDonBoard makes no representations or warranties regarding the Event or any other matter pertaining to these Booking Terms and all warranties, rights, obligations, representations, liabilities, terms or conditions (whether they are oral, written, express or implied or arise in contract, tort, statute or otherwise, and irrespective of the negligence of NEDonBoard or its employees or agents) regarding the Event or any other matter pertaining to these Booking Terms (including without limitation, any relating to satisfactory quality, fitness for purpose, conformity with description or sample, care and skill or compliance with representations, but excluding any implied statutory warranties relating to title) are hereby expressly excluded. NEDonBoard does not warrant that the Event will meet all of Your requirements. Views expressed by speakers are their own and NEDonBoard disclaims all liability for advice given or views expressed during an Event. Course materials distributed at an Event are intended for information only and should not be relied upon
    
    8.	Your Details
    
    8.1	By submitting registration details, You agree to allow NEDonBoard to contact You as required for the organisation and administration of the Event. NEDonBoard will comply with our privacy policy in respect of Your registration details and other information NEDonBoard holds about You. 
    8.2	The names, job titles and organisations of all registered delegates will be placed on the delegate list for the Event. This list will be provided to sponsoring companies and to all delegates via an online attendee directory, so that they can see who is at the Event for the purpose of networking and meetings. If You do not wish to be included on this list please email team@nedonboard.com at the time of making your booking. Delegates who register for the online attendee directory acknowledge and agree that they shall not, under any circumstances, use the delegate list for their own promotional and marketing purposes or for any purpose not expressly agreed to by the other delegates on the list.
    8.3	NEDonBoard shall only contact you for marketing purposes, and will only pass on your contact details to sponsors for marketing purposes, to the extent that you expressly consent to this (for example, by opting in during the registration process).

    9.	Things Beyond the Control of NEDonBoard
    
    If, due to war, strike, lockout, accident, fire, natural catastrophe or other events or circumstances over which it has no reasonable control, NEDonBoard fails to comply with any obligation to You in the manner and time required under these Booking Terms, it shall not be deemed to be in breach of these Booking Terms and NEDonBoard will not be responsible or liable for any loss or damage which may be incurred by You as a result of such failure.
    
    10.	General
    
    10.1	These Booking Terms contain the total understanding and agreement of the parties and supersedes all previous understandings or agreements between them either in writing or oral, provided that this shall not apply to fraudulent or negligent misrepresentation.
    10.2	In the event that one or more of the provisions of these Booking Terms are found to be unlawful, invalid or otherwise unenforceable, that / those provisions shall be deemed severed from the remainder of these Booking Terms.  The remainder of these Booking Terms shall be valid and enforceable.
    10.3	Any failure by NEDonBoard to enforce the performance of any provision in these Booking Terns shall not constitute a waiver of the right to subsequently enforce that provision or any other provision.  
    10.4	A person who is not a party to these Booking Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these terms.
    10.5	These Booking Terms were last updated on 18 May 2017 and may be updated from time to time.
    10.6	These Booking Terms and the rights of the parties under it shall be governed by and construed in accordance with English Law. The parties hereby agree to submit to the exclusive jurisdiction of the courts of England and Wales.
